1.  WEBSITES

1.1  Definition of terms


1.1.1 “Website” and “site” are used here interchangeably both hold the same meaning referring to a page or collection of pages on the World Wide Web.


1.1.2 “Full build” refers to (if used as a verb) building the site fully on the Oasis platform; (if used as a noun) a website completely built or will be built on the Oasis platform.


1.1.3  “Minor changes”, “Minor edits”, or just “Edits” refer to any edits or changes in the text, replacement of images, or change of color, but it does not considerably affect the layout of the website and does not include technical work. This does not include any additional pages or features.


1.1.4 “Web content” refers to the text, visual or audio content that is made available online and user encountered as part of the online usage and experience on websites. It may include text, images, sounds and audio, videos, and internal or external links, among other items placed within web pages.


1.2 Websites in General


1.2.1 maWebCenters requires its clients and customers to complete our official build forms for each site you want us to build so it gets through our system and won’t get lost in an email thread.


1.2.2 maWebCenters will use images/photos/graphics provided by you or will offer images from its library or the internet. For any image found that is required to be purchased, maWebCenters will advise you of the cost. Upon your approval, this cost will be added to your invoice.


1.2.3 For any sourced images that we use on your website from the internet that are FREE and available for public use, we do not own the rights to these images nor charge you for them. maWebCenters does not guarantee that your website is the only website that uses these images. maWebCenters highly recommends the use of your OWN photos and images on your website rather than the free stock images.


1.2.4 Images and videos should be properly labeled and of the best quality possible. Videos should only be on YouTube or Vimeo; no other formats will be accepted. maWebCenters will not be responsible for restoring low-resolution images or recreating/redesigning an image/video to make it a high resolution.


1.2.5 maWebCenters will build your website using the Oasis Platform under OUR Oasis account.


1.2.6 The client is responsible for the final approval and checking of the web content published on their website.


1.2.7 maWebCenters will only provide access to the website after it has been made live. Any changes made by the client or customers that result in site damages, malfunction, and the like, will not be the responsibility of maWebCenters. We will be able to repair the damage at an additional cost.


1.3 Custom Websites


1.3.1 Custom websites may consist of one or more pages.



1.3.2  Custom websites are designed based on your reference website/s and the specifications you provided on the build form.


1.3.3 All web content (text, images, videos, etc) needed to complete your website must be submitted before we proceed with the full build.


1.3.4  Any custom development and features you need for your website must be specified in the build form or discussed with maWebCenters before the quotation is provided and before commencing with the build. Any additional requirements and features after the quotation is sent are subject to review and additional charges.


1.3.5 maWebCenters will provide you with a quotation and estimated timeframe after reviewing all the requirements and specifications you sent to us.


1.3.6 In cases where the customer has a current website, maWebCenters must be informed of the total number of pages and the features they want to keep for the new site before we provide a quotation.


1.3.7 If the customer wishes maWebCenters to count the pages of the current website with more than ten (10) pages, this will have an additional cost.


1.3.8 maWebCenters will design a mockup and present that to you within the advised business days for approval before the site moves to a full build. The mockup is a design concept in nature and contains minimal content. This mockup will be charged at a rate of a front-page build and is payable regardless of moving to a full build site or not.


1.3.9 Upon approval of this mockup, maWebCenters will invoice you in full based on the quotation that you have agreed to, and once settled, maWebCenters will then proceed to the full build of the website which will be finalized within the timeframe mentioned on the proposal.


1.3.10 maWebCenters will design and build your website using the information, specifications, and assets you provided us with on the build form.


1.3.11 maWebCenters offers two (2) free sets of minor changes after the site is done. The customer is expected to check all the pages of the site on different devices before sending back changes. Any additions/changes to the site that have not been provided in the initial specifications and are not associated with the original specifications will be completed at an additional cost.


1.4  One-Page, Classic, Professional and Custom Website Design


1.4.1  Pricing and Payment. This pricing for each product is fixed. Full payment is required upon form submission. This is non-refundable and cannot be exchanged for cash in part or full, for another item, or for credit.


1.4.2  Additional Pages. After the site is built, you can request for additional pages to be built which incur additional costs per page.


 1.4.3  Web Content.


a. All web content (texts, images, links, colour scheme, etc), specifications, and instructions for the website build and the selected templates must be submitted through the online build form. Anything submitted after the build has started will be subject to review and additional costs.


b. Site 360 includes content that matches your business generated using Oasis’s AI content generator. The client is responsible for the final checking and approval of the content to be placed on their website.


1.4.4  Customization. Only the contents such as text, images, color scheme, and branding will be replaced from the chosen primary template. For those with secondary templates, sections from these will be adjusted to fit in with the primary template. No heavy layout and design changes will be applied.


1.4.5  Changes. The number of free sets of minor changes depends on the package available. maWebCenters will wait for 3 business days after the submission of the site to you for the minor changes you’d like to apply to your website. After this waiting period is over and no changes were received from you, the free sets of minor changes are forfeited. Any changes after the waiting period or after the site has been published will be charged at an additional cost.

2.  GRAPHIC WORKS

Logo, Brochure, Business Cards, Flyers


2.1 maWebCenters requires the customer to fill out the order form and include all the necessary details to get started. maWebCenters will then advise the total cost of the project unless otherwise explicitly stated.


2.2 maWebCenters will send an invoice for the project and require full payment before starting with the project.


2.3 maWebCenters will create 2 versions of the logo and will submit the JPG files with watermarks within 2 business days.


2.4 maWebCenters allows 1 set of changes for free for the logo if there's anything that needs to be adjusted according to the client's initial request.


2.5 Change of reference or a new set of instructions will be considered as a new order. We will advise you of the cost, send an invoice, and start once paid.


2.6 After the customer approves the design, they will receive the PSD/AI file of the order.


2.7 Once the files are sent to the customer, no refund on payments or credits will be issued.

3.  WEBSITE SUPPORT

This pertains to handling tickets/email/chat questions regarding the website of your customer using your brand. This also includes website changes (depending on the purchased package) but does not involve technical work, custom development, and/or any website add-ons.


3.1 Website Support Packages. All websites built through the maWebCenters All Access platform are enrolled in Tier 1 (Basic Support) by default unless a higher plan is selected upon purchase. Initial term is for 6 months.


3.1.1 Tier 1 (Basic)

  • Live Chat and Email Support
  • Covers questions relating to the website, website features, and the maWebCenters All Access platform.
  • No website editing


3.1.2 Tier 2 (Standard)

  • Live Chat and Email Support
  • Covers questions relating to the website, website features, and the maWebCenters All Access platform.
  • Unlimited basic website editing (i.e. website text edits and replacement of images)
  • No design changes and alterations to the layout
  • Additional pages, blog posts, e-commerce setup and product entries, and technical work/support are not covered and are quoted separately.


3.1.3 Tier 3 (Managed)

  • Live Chat, Email Support, and Call Support by appointment (through Calendly Booking)
  • Calls are via Zoom and/or Google Meet
  • Covers questions relating to the website, website features, and the maWebCenters All Access platform
  • Unlimited basic website editing (i.e. website text edits and replacement of images)
  • Includes basic HTML and CSS editing
  • Includes design changes and layout alterations on a page or certain sections (does not include full website redesign)
  • Additional pages, blog posts, e-commerce setup and product entries, and technical work/support are not covered and are quoted separately.


3.2 Downgrade, Upgrade, and Cancellation. If the client or customer wishes to downgrade, upgrade, or cancel the website support, the client or customer must contact maWebCenters through the support email provided. Downgrade and upgrade apply to the following billing cycle. For cancellation, the client or customer must give at least 30 days' notice. The cancellation will take effect the following billing cycle after the 30 days of notice have passed.


3.3 maWebCenters have the right to suspend the service if the payment fails and terminate after failed retries. The client and customer still need to pay maWebCenters for any unpaid services. The service will resume once all outstanding invoices are paid.

3.2  Response Time

4.  DIGITAL MARKETING

6.1  maWebCenters creates & builds campaigns and optimizes websites based on the purchased package and the information and assets provided on the order form. Missing or incomplete details will affect the delivery time and completion. We require all customers to complete the SEM/SEO form as much as possible.


6.2 Optimization. maWebCenters must be informed of any changes made to your website. Search engines on the other hand constantly launch new updates and adjust algorithms accordingly, and such, search ranking fluctuation for SEO and traffic fluctuation for SEM may occur. This may result in unfavorable outcomes which are out of maWebCenters’s control, and we are not liable for such activities or events. We’ll try to optimize and align our strategies based on these updates, ensure that we promote the latest products and services of the business, and will advise the client or customer for any additional costs that may apply.


6.3 Approval. Clients and customers must review, liaise, and approve any details that are being sent by maWebCenters. Without or delayed approval will hold the publishing process where ads will not serve online or work will be delayed which can result in a restart of the activities.


6.4 Required Credentials. Any Google Account that the maWebCenters requires must be provided (e.g. Google Analytics 4, Google My Business, and Google Search Console). If you do not wish to provide us with your login credentials, we can provide an email address where you could share Google Accounts through there. As part of the fulfillment, we create a dedicated Google Account to use for white- labeling. The created dedicated Google Account will be used to store all clients' and customers’ Google-related accesses needed for SEM/SEO management (such as Google Analytics 4, Google Tag Manager, Google Ads MCC ID, etc).


We require allowing granted permission at the highest level possible. Confidentiality of your credentials being shared with maWebCenters is expected to be maintained.


6.5 Service Scope. Other requests like scripts that are not part of the availed package must be done and installed by the customer’s developer. maWebCenters can do it for you, if requested, with an additional charge.


6.6 Reports. maWebCenters provides monthly reports of the campaign performance, which will be sent only to you (except SEO+ Reports). For Agencies, this means you will need to forward it to your customers.


6.7 Recommendations. maWebCenters will advise of any suggestions for improvement or restructuring (if necessary) depending on the current market, demands of the searchers, trends, and other key metrics that may affect the optimization and management.


6.8 Targeting. maWebCenters current SEO services were designed to target local areas only and do not accept a wide range of location targeting such as Statewide or Countrywide.


6.9 Platform. maWebCenters provides SEM Services to customers with websites built in Oasis, WordPress, Shopify, Weebly, Wix, or any top website builder platforms out there.


6.10 Subscription. All of maWebCenters’s Digital Marketing monthly subscription services will be billed for the first three months in advance and then on a month-to-month basis from the fourth month and so on. Annual subscription is also available upon request.

5.  INTELLECTUAL PROPERTY

7.1 Any copyrightable works, ideas, discoveries, inventions, patents, products, documents, databases, emails, accounts, passwords, or any other information developed in whole or in part by maWebCenters in connection with the provision of services to the client or customer shall be the exclusive property of maWebCenters and the client or customer shall retain no ownership, interest, or rights therein.


7.2 The client and customer acknowledges that all Intellectual Property Rights in any Confidential Information or Software developed by maWebCenters, and in any enhancement, modification, or customization of such Software, and any other material proprietary to maWebCenters, vests exclusively in maWebCenters, and that the client or the customer will not infringe maWebCenters’s Intellectual Property Rights, nor seek to exploit or use any such material for its own purposes unless agreed in writing between both parties.


7.3 The client and customer further acknowledges that all Intellectual Property Rights in the Confidential Information and the Software, in any other material proprietary to maWebCenters, and in any enhancement, modification, or customization of the Software developed by, utilized by, or provided to the client and customer in connection with the engagement of maWebCenters to provide services remains the property of maWebCenters, and the client and the customer acquires no right or interest in such property.


7.4 Where the client or customer given access to any such Software or any other thing in which maWebCenters has Intellectual Property Rights, and following provision to such access the client or customer authors any works in which copyright subsists, or develops or creates any inventions or processes (whether capable of registration or not) (collectively Works), as legal and beneficial owner the client and the customer hereby:


(a) assigns to maWebCenters all rights, titles and interest in and all rights subsisting in the Works anywhere in the world, including all Intellectual Property Rights in the Works and all proprietary rights subsisting in any material form of the Works;


(b)  assigns to maWebCenters all copyright subsisting in the Works which is created in the future;


(c) agrees to assign to maWebCenters the right, title and interest in and to all rights subsisting in future works, anywhere in the world, including the Intellectual Property Rights not assigned under (a) or


(b) and the proprietary rights subsisting in any material form of the Works not assigned under (a);


(d)  assigns to maWebCenters the right to claim (and retain) any damages and other remedies (including but not limited to an account of profits) for past infringement of and wrongful interference to the Works which arose before this assignment; and


(e)  warrants that the client and customer will procure consents with respect to all moral rights subsisting in the Works, including consent to do all acts or omissions in relation to the Works, whether occurring in the past, present, or future, from all clients, customers and contractors involved in the creation of the Works that, but for this consent, would infringe any moral rights or similar rights the client, customer or contractors may have anywhere in the world.


7.5 All Intellectual Property Rights (including, without limitation, all database rights, rights in designs, rights in know-how, patents, and rights in inventions (in all cases whether registered or unregistered and including all rights to apply for registration) and all other intellectual or industrial property rights in any jurisdiction) in any information, content, materials, data or processes contained in or to this website belong to the maWebCenters. All rights of maWebCenters in such Intellectual Property Rights are hereby reserved.


8. Confidentiality with partners. maWebCenters respects you and your customers and we have a total “Non- Solicit” policy. Your customers and your information are yours and we do not cross the confidential line.
